Since its establishment, GLO has been dedicating in foreign related legal affairs. With excellent international knowledge background and work experience of our outbound investment team, we have represented a range of clients, delivering legal services regarding investment projects in many different countries and territories, accumulating extensive experience. Our overseas investment experience covers a wide range of sectors from energy and mining to pharmaceuticals and chemical engineering, a variety of investment methods from green land investment to M&A, a range of investment entities from SOEs to private companies. We are familiar with the myriad processes and matters requiring attention in outbound investment and always focusing and researching the related developments and nuanced changes of Chinese laws and regulations; Meanwhile, we also keep alerted of many major investment countries' developments and changes of environment and policy.

We have formed and maintained long and steady cooperations with extensive renowned local law firms from Europe, North America, Latin America, Africa, Middle Asia, Southeast Asia, among others. During the process of "going global" and "bringing in", we have established faithful cooperations and mutual trust with renowned foreign law firms. This allows us to provide suggestions related to Chinese laws regarding overseas investment projects for clients, and provide efficient and quality services regarding the cross-jurisdiction legal demands of project in local area.

Our services mainly include:

  • providing suggestions for clients regarding selection of overseas law firms and other service providers, and coordinating the work of such service providers
  • offering suggestions for clients regarding trading structure, financing arrangements, investment methods, among others
  • participating in negotiating and drafting, reviewing and modifying relevant trading documents
  • helping clients go through various domestic formalities, including various government approvals, licenses and registrations
  • providing legal services regarding overseas investment after delivery and consolidation of domestic businesses

Representative deals

  • In 2019, represented A+H listed company Jiangxi Copper Company Limited regarding its acquisition of the Canadian Listed Company First Quantum Minerals Ltd. shares with a consideration exceeding USD 1.1 billion
  • In 2019, represented the Chinese Investors Consortium led by China Merchants Expressway in its acquisition of the  Third Bosphorus Bridge and the Northern Marmara Motorway Project in Istanbul, Turkey (the largest infrastructure M&A transaction in Turkey to date and a landmark cross-border investment by China-based investors in Turkey)
  • In 2019, represented A shares listed company Tongding Interconnection to acquire 26.05% shares of NASDAQ listed company UTSI, which made Tongding became the largest shareholder
  • In 2018, represented Hubei Sanonda Co., Ltd. (A share and B share company) to acquire all shares of Israel's ADAMA at RMB18.5 billion by shares issuing for asset acquisition, which led to the modification of the 2016 Management Measures for Significant Asset Restructuring of Listed Companies
  • In 2017, represented CNAC to acquire all the shares of Syngenta (listed in Switzerland and the U.S.) with a deal value of USD42.6 billion (the largest overseas investment acquisition project among Chinese companies, “Outbound Deal of the Year” by China Law & Practice 2017)
  • In 2016, represented Primavera Capital Group and Xiwang Foodstuffs Co., Ltd. to acquire shares of Canada Kerr at USD503 million
  • Sinocap acquired global copyright of Cavalia created by founder of Cirque Du Soleil (up the date the largest overseas artist program copyright acquisition project in China)
