GLO Assists Tianjin Port with Its Major Share Transfer Transaction

On September 6, 2017, Tianjin Port Holdings Co., Ltd (“Tianjin Port Holdings”, stock code 600717) released an announcement that Tianjin Port Holdings has purchased forty percent (40%) equity interests in Tianjin Port Alliance International Container Terminal Co., Ltd. one hundred percent (100%) equity interests in Tianjin Port Container Terminal Co., Ltd., one hundred percent (100%) equity interests in Tianjin Port No. 2 Stevedoring Co., Ltd., fifty-one percent (51%) equity interests in Tianjin Port Haifeng Bonded Logistics Co., Ltd., and forty percent (40%) equity interests in Tianjin Port Euroasia International Container Terminal Co., Ltd., respectively held by Tianjin Port Development Holdings Limited (“Tianjin Port Development”, stock code 03382) or its wholly-owned subsidiaries, and Tianjin Port Holdings has sold one hundred (100%) equity interests in Tianjin Port Tugboat Lighter Co., Ltd. to Champion Sky Enterprises Limited, a wholly-owned subsidiary of Tianjin Port Development (“this Transaction”). The six target companies of this Transaction have completed the relevant industrial and commercial registration of changes, and received their new business licenses. Pursuant to the provisions of the Share Transfer Agreement, this Transaction has been duly closed, and all transferees have acquired the ownership of the relevant underlying equity interests. This Transaction, with a total transaction amount of around RMB 4.9 billion, has significant meanings to both listed companies. Upon completion of this Transaction, the issue of competition between Tianjin Port Holdings and its controlling shareholder, Tianjin Port Development, will be solved, and the core business sectors of the two will be further integrated. Both listed companies will enjoy the cooperativity and combination benefits to increase their core competitiveness.
