Qinlan Li is an of counsel of Global Law Office based in Beijing. Her main practice areas include corporate and mergers and acquisitions, private equity and investment funds, outbound investment, capital markets, as well as banking and finance.
In the private equity and venture capital sector, Qinlan Li has been deeply involved in a wide range of domestic and cross-border equity investment transactions for PE/VC funds, including transactions relating to red-chip structures, restructurings and other related arrangements. The projects she has advised on span various stages of investment, including start-up, growth and pre-IPO rounds. She has represented numerous leading investment institutions, including Hillhouse Capital, Eight Roads, CTS Capital, Yunhui Capital, Shanxing Capital, Longmen Capital, Green Motion Capital, XNAHE Capital and China Internet Investment Fund. In addition, she has also acted as company counsel for several start-up companies such as Cornerstone Robotics and Ruiyun Cold Chain in multiple rounds of financing. Her transaction experience covers a broad range of industries, including technology, new energy, new materials, medical devices, pharmaceuticals, logistics, food and financial services.
In the areas of mergers and acquisitions and securities offerings, Qinlan Li has been actively involved in a number of equity and asset acquisition transactions of non-listed companies. Her representative publicly disclosed projects include, among others: advising Hewlett Packard Enterprise Company on the approximately USD2.1 billion sale of a 30% equity interest in H3C to Unisplendour Corporation Limited (000938.SZ), which was recognized as an "Outstanding Deal of the Year – Corporate M&A" by China Business Law Journal in 2024; advising Stellantis N.V. on its EUR1.5 billion acquisition of a 20% equity interest in Leapmotor (09863.HK), which won the "Asian M&A Deal of the Year" at the ALM Asia Legal Awards 2024; advising Qianai Asia Pacific on its partial tender offer for Luyang Energy-Saving Materials Co., Ltd. (002088.SZ) with a transaction value of approximately RMB2.735 billion; advising Recruit Holdings Co., Ltd., the largest shareholder of 51job, Inc. (NASDAQ: JOBS), on the privatization of 51job; advising Diageo plc on its partial tender offer for Sichuan Swellfun Co., Ltd. (600779.SH) with a transaction value of approximately RMB690 million; advising Wanda Film Holding Co., Ltd. (002739.SZ) on its non-public offering of A shares in 2020; and advising Yidu Tech Inc. (02158.HK) on its listing on the Main Board of The Stock Exchange of Hong Kong Limited.
Qinlan Li joined Global Law Office in 2024. Prior to joining Global, she worked at the Beijing office of Haiwen & Partners, where she focused on securities, mergers and acquisitions and foreign direct investment matters.
