In the field of cross-border transactions and cross-border asset acquisitions, Guanting Lu has handled: Hengmei Optoelectronics and Nuoyan Capital acquired the polarizer assets of Samsung SDI (South Korea); MTC (002429.SZ) participated in the acquisition of LG’s 8.5-generation line in Guangzhou factory (with a transaction amount exceeding RMB 10 billion); cross-border equity and asset acquisition for a company in the e-cigarette industry; special legal consulting services for Xiuqiang Glass (300160.SZ) regarding its investment and factory construction in Thailand; special legal consulting for the acquisition transaction of a Cayman Islands subsidiary of Harbour Environment (600323.SH); representing financial institutions such as ICBC and China Construction Bank in cross-border debt collection; and designing European investment plans for a Jiangsu-based SOE (including ODI, overseas blind pool funds, and foreign investment analysis in Germany and France).

In the field of specialized legal services, Guanting Lu has handled: renewal of the Sino-foreign joint venture for Zhuhai Coca-Cola (a subsidiary of Zhuhai Port 000507.SZ); Hong Kong syndicated loan financing for Zhuhai Port’s overseas subsidiary; reduction of shareholding in an A-share listed company by Zhuhai Port (state-owned asset transfer); design and implementation of the employee co-investment scheme for China Merchants Leasing; transfer of Longquan Shares’ stock to Jianhua Group (by agreement); transfer of Sunlord’s (002138.SZ) shares to Shenzhen Investment Holdings Win-win Fund (by block trade); and transfer of Xiuqiang Glass’s (300160.SZ) shares to Zhuhai Port (by agreement).

 

In the field of refinancing of listed companies, Guanting Lu has handled: small-scale and rapid additional share issuance of Zhuhai Port (000507.SZ); issuance of convertible corporate bonds to unspecified parties by Trina Solar (twice); share issuance to unspecified parties by Trina Solar; non-public offering of shares by Longquan Shares (002671.SZ); non-public offering of shares by CSG Group (000012.SZ); issuance of shares to specific targets by Tongyu Heavy Industry (300185.SZ); and issuance of shares to specific targets by Le Xin Medical (300562.SZ).

 

In the field of dispute resolution and litigation, Guanting Lu has represented numerous domestic and overseas financial institutions in debt collection and non-performing asset disposal, including China Development Bank Hong Kong Branch, DBS Bank (Hong Kong), Huaqiao Yongheng Bank (China), China Construction Bank, Hang Seng Bank (China), the asset protection department of China Merchants Bank, Industrial and Commercial Bank of China (Asia), Hongkong and Shanghai Banking Corporation, Nanyang Commercial Bank, and others. He has also achieved favorable outcomes in multiple complex commercial litigations, involving disputes over control of joint ventures, confirmation of feasibility of listed company acquisitions, and recovery of accounts receivable, with aggregate amounts in dispute exceeding tens of millions of RMB.
