Chen Yang focuses his practice on venture capital and private equity, M&A, outbound investment (ODI), cross-border structuring and compliance, overseas listings, and employee stock ownership plan (ESOP). He routinely represents clients across a diverse range of sectors, including biopharma, healthcare, semiconductors, chip manufacturing, entertainment, TMT, manufacturing, consumer goods, food and beverage, wholesale and retail, and property management. His core responsibilities include designing transaction structures, leading negotiations, and drafting and reviewing deal documentation.

 

In the domain of equity investment, Chen Yang has represented renowned investment funds, corporate venture capitals (CVCs), and strategic investors—such as Tencent, Baidu, Zhenghan Capital, Greater Bay Area Capital, Hui Capital, Hengsong Capital, Vanke and Onewo, and SYoung Co., Ltd.—in numerous equity investment and acquisitions across various industries. Since 2022, he has been particularly active in advising clients on a significant number of outbound investment and “overseas expansion” projects, primarily in Europe, North America, and Southeast Asia. In this capacity, he has established long-standing, trusted, and highly efficient working relationships with local counsel, accounting firms, and consulting agencies in these jurisdictions.

 

Over the past three years, Chen Yang has been actively involved in a wide range of cross-border transactions, investments, M&A, and overseas expansion projects, including:

  • Advising a leading Chinese energy storage battery company on its global corporate structuring and assisting with the establishment of entities in Germany, Singapore, the United States, and other jurisdictions;
  • Representing SYoung Co., Ltd. (300740.SZ) in its cross-border acquisitions of U.S.-based ReVive, French skincare company EviDenS de Beauté, and the China business operations of French brand PIER AUGÉ;
  • Serving as ongoing counsel to a leading Southeast Asian food group in joint venture project, corporate restructuring, structural optimization, greenfield investments, company formations across equatorial regions;
  • Advising a listed Chinese company on its acquisition of equity in a Vietnamese PCB manufacturer;
  • Providing comprehensive legal support to various publicly-listed and private companies—including those in fresh produce retail, medical devices, semiconductors, overseas social applications, advanced manufacturing, and e-cigarettes—regarding overseas structuring, Southeast Asian investments (covering Singapore, Laos, among others), overseas equity incentive plans, and outbound investment/joint venture initiatives.

Chen Yang also has extensive experience in designing and implementing ESOP. He has tailored and executed domestic and international ESOP for dozens of enterprises, including those with Red Chip structures, effectively balancing the interests of company controllers, senior management, and the companies themselves.

 

Chen Yang has been recognized as the Next Generation International Lawyer by the Shenzhen Lawyers Association.

Work Experience

Chen Yang joined Global Law Office in 2025. Prior to this, he practiced at Han Kun Law Offices and JunHe LLP, where he specialized in venture capital and private equity, outbound investment, cross-border structuring and compliance, and overseas capital markets transactions.
